AGREEMENT OF PURCHASE AND SALE
THE TOWN OF SOUTH BRUCE PENINSULA
AS TRUSTEE FOR A COMPANY TO BE INCORPORATED
THE WIARTON KEPPLE INTERNATIONAL AIRPORT
Being composed of: Part Lots 6,7,10 and all of z lots 8& 9, Conc. 22. Part of Lot 10, Concession 23, Part Lots 1-6, Jones Range, Township of Keppel, County of Grey, Being Part 1 on Plan 16R-3283 and Part of Lot P, Part of Lot S, Town of Wiarton, County of Bruce, Being Part 1 on Plan 3R-4269. An area of approximately 820 acres.
At the Purchase Price of One million eight hundred thousand dollars ($1,800,000.00) with a good faith deposit in the amount of One Hundred Thousand Dollars ($100,000.00) due and payable upon acceptance of this agreement by all Parties inclusive of the Township of Georgian Bluffs and to be held in Trust by the Offices of the Buyer with said funds to be delivered to the Seller on closing of this Transaction and in the event this agreement fails to close through no fault of the Buyer the said funds shall be refunded to the Buyer without penalty or delay.
The Seller shall execute this agreement on or before 5:00 PM on the 9th Day of September, 2010, failing which this agreements shall be null and void and the Buyer Deposit refunded to him without penalty or delay.
The Buyer agrees to pay the balance of the purchase price, subject to adjustments, by bank draft or certified cheque, to the Seller on the completion of this transaction on or before May 31, 2011.
The Buyer agrees and warrants that he shall continue to operate the property as an International Airport forward from closing.
The Seller represents and warrants to the best of the Seller’s knowledge and belief that during the period of his ownership of the property, that: all environmental laws and regulations have been complied with, no hazardous conditions or substances exist on the land, no limitations or restrictions affecting the continued use of the property exist, other than those specifically provided for herein, no pending litigation respecting Environmental matters; no outstanding Ministry of Environment Orders, investigations, charges or prosecutions regarding Environmental matters exist, there has been no prior use as a waste disposal site, and all applicable licenses are in force. The Seller agrees to provide to the Buyer upon request, all documents, records, and reports relating to environmental matters that are in the possession of the Seller and said documentation being satisfactory to the Buyer. The Parties agree that this representation and warranty shall form an integral part of this Agreement and survive the completion of this transaction, but apply only to circumstances existing at completion of this transaction.
The Buyer shall have until not later that 5:00 p.m. on the 15th day of May, 2011, to satisfy itself that the property is zoned in final and binding form under the relevant zoning by-laws and official plan to permit it to develop or use the property for the purpose of an International Airport being comprised of 200 acres, with 400 acres zoned Residential and 200 acres Commercial Industrial. If the Buyer is not so satisfied at the Buyer’s sole and arbitrary discretion, the Buyer may terminate this Agreement by notice in writing delivered to the Seller within the time period stated above and the deposit shall be returned to the Buyer in full without deduction.
Upon acceptance of this Agreement, the Seller agrees to provide the Buyer with copies of all leases on the property. Upon review by the Buyer, if the terms of said leases are unacceptable to the Buyer, in the Buyer’s sole and absolute discretion, the Buyer shall have the right to terminate this Agreement by notice in writing delivered to the Seller not later than 5:00 p.m. on the 20th day of March, 2011, and the deposit shall be returned to the Buyer in full without deduction.
This agreement may be terminated by the Seller within 60 days of execution and acceptance of this agreement, should the Seller be unable to secure the interests of this property from The Township of Georgian Bluffs. Notice of Termination shall be in writing delivered to the Buyers Solicitor within the said time frame.

Mr. Barfoot felt that the Buyers would be around after the election!
When the investors came to town to meet with Mayor Barfoot and Mayor Gilbert to discuss the agreement why was Mayor Barfoot to busy to attend the meeting???
Why did Georgian Bluffs lawyer not get back to the towns lawyer until the 8th, the day theday before the offer expired??
Why was there not an emergency meeting called by the CAO (Mayor Rhonda Cook) when requested by the Mayor??
Since there was a termination clause in the agreement, why not accept the offer and keep them on string. If the deal didn’t work out then terminate the deal. But to ignore the offer and scare them away is just irresponsible and shows that these players are not business people and could care less about the future of this area!
Is Georgian Bluffs trying to deal out Wiarton????? Why did members of Council insist that Georgian Bluffs be given the right to decline the offer? They had sixty days to cut a deal or walk!
Why didn’t the CAO or Georgian Bluffs contact the Realtor to investigate the deal?
Why did the CAO not allow an emergency meeting to be called to deal with the offer? Did Mayor Rhonda Cook feel it might affect the outcome of the election??
The silence is deafening!
Sounds to me like they are trying to discredit Mayor Gwen Gilbert before the election! Bone heads!!!
There are people who have been throwing rocks at Mayor Gwen Gilbert for the last four years calling her everything but white, what is the matter with you people???
It was Mayor Gwen Gilbert that brought an opportunity to this community of a life time and certain people are chastising her and in the next breath wine and bitch and moan because there are no jobs, no growth and no future!
Of the candidates running for Mayor, I don’t believe any of them are capable of putting together anything remotely comparing to this offer!
This community has greatly underestimated the abilities of Mayor Gwen Gilbert! The Bandits have abused her and the community as a whole by doing everything in their power to frustrate and discredit her! Wake up Sheeple!
The fact remains she still has no office, no cell phone and no computer, even though the Municipal Affairs investigation proven her right!
The fact remains that Art Kings motion to conduct a Judicial Review of the illegal actions of certain members of Council was voted down by the same certain members that were the subject of the review!
The old boys, the same ones supporting Deackons, didn’t want a woman in office and now are trying to drive the final spike through her office. The community as a whole is paying the price.
I am ashamed of the overall stupidity being displayed! The saying goes “you can’t be a prophet in your own backyard” this is certainly being proven in the TSBP!
I hope everyone gets their head out of their ass and realize that Mayor Gwen Gilbert is more than the negative bullshit that has been tossed around and perpetuated by the few!
Comments like “one thing is for sure, “the new Mayor won’t be wearing a skirt!” being tossed around down town certainly indicates the mentality of the few in this town! Small minded and stupid!
I believe that the only person capable of reviving this deal is Mayor Gwen Gilbert and if she is not there kiss it goodbye and understand that the future of this community is in servicing tourists fourteen weeks a year and maintaining an aging population with an increasing tax bill and a grim outcome over the long haul!
